Just a shot in the dark: Are you using GP Project Accounting and running version 9.0 SP1? There was a bug with Project accounting where GP was taking a VERY long time to close prior to SP2. (or maybe it was SP3?) In any event, it was made much better with a later service pack.
I'm my guess is wrong, I would suggest you diagnose which of your products is causing the long shut down. You can do this my removing products one at a time from the Dynamics.SET file in your GP installation folder. BE SURE TO MAKE A BACKUP OF YOUR DYNAMICS.SET FILE BEFORE MAKING ANY EDITS. To remove a product:

decrement the product count at the top

Remove the three dictionary lines for the product you are removing. This will be in the same position relative to the product name.

Remove the two lines in the middle section of the file, the first being the product number and the second being the product name.
Remove the products one at a time, testing the performance each time. See if you see a drastic different after removing a product. Then you have something to work with Microsoft Support on, or a third party vendor if it's caused by a non-Microsoft product.
