How do I create a marketing list from all my accounts and their multiple contacts including other data such as email addresses, and whether opted out of mailing?

Clofly is right advising you to consider using dynamic segment instead. Please keep in mind that dynamic marketing list can be used in quick campaigns only and static ML - mainly as a subscription list in customer journeys. For all other purposes use of segments offers more options and flexibility than marketing lists. Eg, the number of members is limited in ML while in segment it is not.
If you need exactly what you've asked about, then I think you need to split the task by 2:
1. Where do you store the data on your accounts and contacts now? If it is in Marketing, then all the related data (email etc) should be available from the contact/account record with no work required. If it is a third party app, you can use import and map all the fields you want to see including opt-in/out (depending on your scenario it could be the field "consent given" or "allow email" or even "allow bulk email").
2. Creating a marketing list: go to Subscription lists -> New marketing list -> select type dynamic/static, select "targeted at" account/contact/lead, enter name, press "save". Then go to the "Members" tab and add list members. When you have them in the list, all their attributes will be available as well (eg emails and consent for managing subscription lists in customer journeys).

Hi Partner,
If you would like to let those contacts to opt out of mailing, you could create a following dynamic segment directly without with marketing list.
* Contacts whose company name field contains data.
* Contacts whose email field contains data.
Then set the segment to the suppression segment field of your customer journey, with the result that those contacts won't receive marketing email.
