One more problem...
is there away to disable certain User to reassign Ownership for a Account, Leads, Activities....

is it possible to change the form and disable certain users?

You can do this through security. Settings -> Administration -> Security Roles
You would need to create security roles with differing permissions - adjust the "Assign" permission allowing some roles to assign and other not. Then roles would be assigned to the various users based on their need to reassign records.
