How to reduce license seats for Dynamics 365 FO subscription during renewal?

Hello Community,

I am a Microsoft Partner and I have a customer with a Dynamics 365 Finance & Operations subscription. The subscription is on an annual commitment and will renew on the 20th of this March.

Currently, the subscription has 25 licenses, but the customer only needs 21 licenses going forward. I would like to clarify the correct process for reducing the number of seats:

  1. Since this is an annual subscription, can the reduction only be done during the renewal window (on or before the renewal date)?

  2. As a partner, I manage licenses through the Microsoft Partner Center, not directly in the customer’s Admin Center. Does this mean I need to initiate the seat reduction in Partner Center, while the customer manages user assignments in their Admin Center?

  3. On the customer side, if there are more than 21 users currently assigned, do they need to remove licenses from extra users first before I can reduce the seat count? In other words, does the reduction depend on the number of available seats?

  4. Is there any risk that if we don’t adjust before the renewal date, the subscription will automatically renew with the original 25 seats?

I want to make sure I guide my customer correctly and avoid unnecessary costs. Could anyone share the exact steps or best practices for handling this scenario in Partner Center and Admin Center?

    1) Issue
    - Requirement to reduce the number of D365 Finance & Operations license seats from 25 to 21 during subscription renewal

    - This can happen because billing capacity and user assignment are technically independent but operationally linked
     
    3) Resolution
    - Timing (critical)
    - Reduce the license quantity at renewal time only
    - Perform the adjustment before or on the renewal date (20th March)
    - If not changed in time the subscription will automatically renew with the current quantity (25 seats)
     
    Partner Center actions (Partner responsibility)
    - Go to Partner Center → Customer → Subscription
    - Edit the subscription quantity
    - Change from 25 → 21 licenses
    - Confirm the change before renewal date
    - This controls billing and committed license count
     
    Admin Center actions (Customer responsibility)
    - Ensure no more than 21 users are assigned licenses before reduction
    - Remove licenses from excess users (4 users in this case)
    - This avoids assignment conflicts after reduction
    - If more users than licenses remain assigned reduction may fail or create inconsistencies
     
    Dependency rule
    - Always reduce assigned users first → then reduce subscription seats
    - License quantity cannot be reduced below currently assigned licenses

    - Step 1 Remove licenses from 4 users in Admin Center
    - Step 2 Validate only 21 active assignments remain
    - Step 3 Adjust subscription quantity in Partner Center
    - Step 4 Confirm change before renewal date

    - Subscription auto-renews with 25 seats
    - Customer is billed for full quantity for next term
    - Mid-term reduction will not be possible
