New Server, upgrade from GP v10.0 SP5 to GP2010

We have recently purchased a new server, WIndows Server 2008 Standard R2 with SQL Server 2012 installed.  We are currently running GP v10 on a SBS 2003, SQL 2005.

I have built another non-production server for testing, Server 2008, SQL 2012.  What I want to accomplish is to install only GP2010 on the new server.  I have downloaded and read the Update.PDF however I am unclear if I can perform an upgrade without first installing GP v10 on the new server and upgrading in place.  From what I have read SQL 2012 does not support GP v10... would this involve install SQL 2008 first?

What I wish to accomplish is import Dynamics and Company databases into SQL 2012.  Install GP2010 and upgrade without GP v10 on new server.

thanks in advance,
