what if my sales territories have no people?

No user can be manager nor member of multiple territories.  Makes no sense to me that such a restriction fits the real world, but I need the territories for territorial price lists.

So, what do I lose by have no manager nor any members?  What are territories supposed to do other than host price lists and provide a report filtering attribute?

    I understand that Territory is not used much or not much functionality built around other than merly grouping users and locations and as you mentioned for price lists and reporting.

    I have come across few interesting scenarios, have a look at the follwoing

    Please see the following how the territories are used in few other areas in CRM.

    "Territories are used to divide large service areas. If a service territory is assigned to a service account record, and a work order is generated for that service account, then the work order will inherit the service territory from the service account. When you are scheduling a work order using the scheduling assistant, the suggested available resources can be filtered based on the resources that are assigned to the same territory as the work order. Using territories also helps dispatchers manage the schedules more efficiently when managing the schedule board."

    Also, after reading more documentation it seems the territory out-of-the-box isn't all that good for default price list.  The connection procedure depends on the user membership in the territory.  In my case, not only can I not use territory membership, but the default pricing more dependent on the account than the sales person.  This means I need to write a plugin to override the OOB behavior, anyway.
