how can i import dynamics ax 2012 modelstore to dynamics ax 365 environment. is it compatible with dynamics ax 365?

I am afraid, as two versions are different, so you have to update your Model store of 2012 using LCS. It is a complete upgrade experience.

you need to get your metadata upgraded to D365 using LCS.
