Did you recently have Workflow installed? I have seen where you uninstall SharePoint first without uninstall Workflow and then there are objects left over in the databases. There is no easy way to do a manual uninstall process for Workflow. If you are doing this on the same server as a machine that previously had it installed on (and not uninstalled correctly) you are going to need to start over on a new server or try to manually remove everything from the registry and all databases (completely not supported).

I got the issue resolved. Instead of doing this

--installed workflow, default website & default ports in domain

    I did the below

--installed workflow,  website & ports in domain - assigned to web-services ports, not the default one.

Thanks Jonathan, noted your point. but i suppose the SharePoint does not allow to uninstall without uninstalling Workflow,
