is the preparation check list on AX 2012 R3 CU12 is for the data upgrade or code upgrade ?

Dear Mohammed, could you please use more specific titles? You now have to threads about different things but with the same title, and I wouldn't like all your threads for next several month being called "code upgrade from ax 2012 to d365FFO".
Let me rename this one to Preparation checklist for upgrade from AX 2012.
Regarding your actual question, you unfortunately forgot to mention which checklist you're talking about. Don't you mean, for instance, Pre-upgrade checklist for data upgrade?

I am not aware of a specific check list but there have been a number of webinars on this topic.

Thank you Martin for renaming the thread, my question was is there checklist\hotfixes needs to be applied on AX 2012 R3 for code upgrade ? i know there is for Data upgrade, but for only code upgrade any hotfixes needs to be applied for AX 2012 R3 CU12 version?

No changes to your AX 2012 codebase are necessary, although you may want to do some, such as reducing the number of layers to upgrade.
