Actually there's no an in-place upgrade. The platform is different (On-Premise vs SaaS). The data movement however it could be quite simple, data structure is always NAV and you've tools for data import/export. Forgot to import tables 1 by 1 because from NAV 2009 many objects are changed. The best way is to start as a new project, then import setup, master data and balances from your actual installation.

Customziation that you'll have in NAV 2009 must be converted to the new Extensions model.

You can't transfer you customization to D365 easily. So it depends on how flexible you processes are. You have to adapt them to D365 standard. Upgrade to D365 is basically just transfer of your data.
