Unmanaged Solution Import Error: 8004801E and 0x80044150 in log file

Hello,
 
I have unmanaged solution in Prod where I export it as unmanaged. I tried to import it to DEV environment to replace the existing solution it.
 
I encountered this error during the import:
 
 
And I got this log file containing:
 
 
Anybody experience this kind of issue and how do you resolve.
 
Note:
When I export the solution from PROD, I modified last number in the version 1.0.0.X so that i will be higher than the version in the DEV.
